These Terms of Service (“Terms”) govern your access to and use of the services provided by Orange Box Inc., a Delaware corporation doing business as Budy (“Company,” “we,” “us,” or “our”).

By accessing or using our website, software, or services (collectively, the “Services”), you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, do not use the Services.

1. Eligibility

You must be at least 18 years old to use the Services.
By using the Services, you represent and warrant that you meet this requirement.

2. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate, complete, and current information and to promptly update it as necessary.

We may suspend or terminate access if we reasonably believe your account has been compromised or is being used in violation of these Terms.

3. Use of the Services

You may use the Services only for lawful purposes and in accordance with these Terms.

You agree not to:

• Violate any applicable law or regulation

• Infringe or misappropriate intellectual property rights

• Reverse engineer, decompile, or attempt to extract source code

• Interfere with or disrupt the Services or security systems

• Use the Services to build a competing product

• Access data not intended for you

We reserve the right to suspend or terminate your access for violations of this section.

4. Customer Content

You retain ownership of any data, content, or information you submit to the Services (“Customer Content”).

You grant us a non-exclusive, worldwide, royalty-free license to use Customer Content solely to operate, maintain, and provide the Services.

You represent and warrant that you have all rights necessary to submit Customer Content and grant this license.

5. Intellectual Property

The Services, including all software, design, text, graphics, and other content (excluding Customer Content), are owned by the Company and are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.

No rights are granted except as expressly stated.

6. Fees and Payment (If Applicable)

Certain Services may be subject to fees.
All fees are non-refundable unless otherwise stated.

We may change pricing with reasonable notice.

7. Third-Party Services

The Services may integrate with or link to third-party services.
We are not responsible for third-party services, and your use of them is governed by their own terms.

8. Confidentiality

Each party agrees to protect the other party’s confidential information and to use it only to perform obligations under these Terms, except as required by law.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

• OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM

11. Indemnification

You agree to indemnify and hold harmless the Company from claims arising out of:

• Your use of the Services

• Your Customer Content

• Your violation of these Terms or applicable law

12. Termination

You may stop using the Services at any time.

We may suspend or terminate your access at any time for violation of these Terms or if required by law.

Upon termination, your right to use the Services will cease immediately.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

14. Dispute Resolution

Any dispute arising out of these Terms shall be resolved through binding arbitration under the Federal Arbitration Act, except where prohibited by law.

You waive the right to participate in class or representative actions.

15. Changes to These Terms

We may update these Terms from time to time.
Continued use of the Services after changes become effective constitutes acceptance.
