These Terms of Service (the “Terms”) are a legally binding agreement between you and Orange Box Inc., a Delaware corporation doing business as Budy (“Orange Box,” “Budy,” “Company,” “we,” “us,” or “our”).
These Terms govern your access to and use of (a) the website located at https://www.budy.bot, https://www.budybot.ai (the “Site”), and (b) any software, applications, tools, integrations, features, or services provided by Orange Box under the Budy brand (collectively, the “Services”).
Access to the Services is provided only pursuant to an invitation, pilot engagement, implementation project, or written agreement with Orange Box.
By accessing or using the Site or Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization.
1. Definitions
“Customer Data” means any data, content, or information provided to or made available through the Services by or on behalf of you, including data accessed through authorized integrations.
“Documentation” means any materials, guidance, or instructions provided by Orange Box regarding use of the Services.
“Integrations” means third-party products or services that you authorize to connect with the Services.
“Output” means any insights, summaries, recommendations, analyses, reasoning, or other content generated by the Services.
“Engagement” means a pilot, implementation, proof of concept, or other project under which access to the Services is provided.
2. Eligibility and Access
2.1 Eligibility
You must be at least 18 years old to access the Services.
2.2 Access Provisioning
Access to the Services is not self-service. Orange Box grants access at its discretion in connection with an Engagement.
2.3 Account Credentials
If credentials are issued, you are responsible for safeguarding them and for all activity conducted under your access.
2.4 Authorized Users
You are responsible for ensuring that only authorized personnel access the Services and that such access complies with these Terms.
3. Scope of Services
3.1 Nature of the Services
Budy is an AI-powered digital sales teammate designed to assist with sales, marketing, and go-to-market workflows by generating Outputs based on Customer Data, configurations, and contextual inputs.
3.2 Implementation and Pilot
The Services may be provided as part of an implementation, pilot, or limited Engagement. The scope, duration, and objectives of an Engagement may be defined separately in writing.
3.3 No Guaranteed Outcomes
The Services are provided to support decision-making and operational workflows. No specific commercial, financial, or performance outcomes are guaranteed.
4. Customer Data and Privacy
4.1 Your Responsibilities
You represent and warrant that you have all rights, permissions, and lawful bases required to provide Customer Data and authorize Orange Box to process it in connection with the Services.
4.2 Our Use of Customer Data
Orange Box will process Customer Data solely to:
Provide and operate the Services
Support the applicable Engagement
Generate Outputs
Improve reliability and functionality (using aggregated or anonymized data only)
4.3 Privacy Policy
Our processing of personal information is governed by our Privacy Policy, which is incorporated by reference.
5. Integrations and Third-Party Services
5.1 Authorization
By enabling Integrations, you authorize Orange Box to access and process data from the connected third-party systems as permitted by you.
5.2 Third-Party Responsibility
Third-party services are governed by their own terms. Orange Box is not responsible for third-party availability, security, or data accuracy.
5.3 API and Data Dependencies
The Services may depend on third-party APIs and systems that are outside Orange Box’s control. Interruptions or limitations caused by third parties do not constitute a breach of these Terms.
6. AI Features and Outputs
6.1 Outputs Are Probabilistic
Outputs may be incomplete, inaccurate, or outdated. You are responsible for reviewing and validating Outputs before relying on them.
6.2 No Professional Advice
Outputs do not constitute legal, financial, accounting, or professional advice.
6.3 Model Training
Customer Data is not used to train shared or generalized AI models unless explicitly agreed to in writing.
7. Acceptable Use
You agree not to:
Use the Services in violation of applicable laws
Provide data you do not have the right to use
Attempt to reverse engineer or extract source code or models
Use the Services to build or train competing products
Interfere with the security or operation of the Services
Access data belonging to other customers
Orange Box may suspend or terminate access for violations of this section.
8. Intellectual Property
8.1 Ownership
Orange Box retains all rights in the Services, Documentation, and Outputs, excluding Customer Data.
8.2 License to Use
Subject to these Terms and any Engagement-specific agreement, Orange Box grants you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for internal business purposes during the Engagement.
8.3 Customer Data
You retain ownership of Customer Data.
8.4 Feedback
You grant Orange Box a perpetual, royalty-free license to use any feedback you provide.
9. Confidentiality
Each party agrees to protect the other’s Confidential Information using reasonable care and to use it only for purposes of the Engagement, subject to standard legal exceptions.
10. Term and Termination
10.1 Term
These Terms apply for as long as you access or use the Services.
10.2 Suspension
Orange Box may suspend access immediately if required for security, legal, or compliance reasons.
10.3 Termination
Either party may terminate access at the conclusion of an Engagement or earlier if required by law or material breach.
10.4 Effect of Termination
Upon termination, access to the Services will cease. Provisions that by their nature should survive will survive.
11. Disclaimers
THE SERVICES AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ORANGE BOX DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ACCURACY.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORANGE BOX INC. SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORANGE BOX INC.’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO ORANGE BOX INC. IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless Orange Box Inc. from third-party claims arising from your Customer Data, violation of law, or breach of these Terms.
14. Dispute Resolution and Arbitration
Before initiating formal proceedings, the parties agree to attempt good-faith informal resolution.
Except for claims eligible for small claims court or for injunctive relief related to intellectual property misuse, disputes shall be resolved by binding arbitration administered by JAMS under the Federal Arbitration Act. Class or representative actions are waived. You may opt out of arbitration within 30 days of first access by notifying [email protected].
15. Export Compliance
You agree to comply with applicable export control and sanctions laws.
16. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
17. Entire Agreement
These Terms, together with any written Engagement agreement and the Privacy Policy, constitute the entire agreement regarding access to the Services.
